4. Fair Use Policy for AI-Assisted Features

This Fair Use Policy governs the usage of artificial intelligence capabilities provided across the Kinalys platform.

4.1. Scope

AI-assisted features include coaching recommendations, Org Memory Role Intelligence Briefs, adaptive learning recommendations, and any AI feature added later.

4.2. Allowance

Each organisation's subscription includes a monthly AI usage allowance, measured in AI processing units (tokens) and stated in your order form. Unless your order form says otherwise, the allowance is 1,000,000 tokens per organisation per calendar month. Unused allowance does not carry forward.

4.3. Notifications

We will notify your administrators when usage reaches 80% and 100% of the allowance.

4.4. What happens at the limit

On reaching the allowance, AI-assisted features may be paused until the next calendar month. All other platform functionality — KPIs, scorecards, reviews, learning, reports and your data — remains fully available. We will not charge for additional AI usage without your written agreement. Additional allowance can be purchased, and Enterprise customers may negotiate a custom allowance.

4.5. Prohibited use

You may not use AI features to automate bulk or synthetic generation unrelated to the platform's purpose, attempt to extract or reverse-engineer underlying models, or circumvent usage limits.

4.6. Human judgement

AI outputs are suggestions to support managers and HR, not decisions. They must not be the sole basis for any hiring, termination, compensation, disciplinary or other employment decision. Users are responsible for reviewing outputs before acting on them.

4.7. Your data

We do not use your organisation's data to train AI models.

4.8. Changes

We may revise the allowance with at least 30 days' notice. Changes take effect at your next renewal unless you agree otherwise.

5. Fees and billing

Prices are set in Indian Rupees (INR). USD and EUR amounts are indicative conversions for reference only.

Invoices for non-INR billing are calculated at the prevailing exchange rate on the date of invoice, not the date of enquiry or quotation.

Applicable taxes (including GST) are additional to all quoted fees.

7. Governing law

These terms and any dispute arising from them are governed by the laws of India, and the courts at Pune, Maharashtra have exclusive jurisdiction.
